Acceptance and Eligibility

By using Vertica, you agree to these Terms. If you do not agree, do not use the Service.

You may use Vertica only if you can form a binding contract with us under applicable law. You must be at least:

• 13 years old in most jurisdictions, including India and the United States.
• 16 years old if you are in the European Economic Area or the United Kingdom.
• The minimum age required to consent to data processing in your jurisdiction, if higher.

If you are below the age of majority in your jurisdiction (typically 18), you confirm that your parent or legal guardian has reviewed these Terms and consents to your use of the Service.

If you are using Vertica on behalf of an organisation, you confirm you have the authority to bind that organisation to these Terms, and "you" includes that organisation.

Your Account

2.1 Registration

To use most features of Vertica, you need to create an account. You can register using your email address or sign in with a supported third-party provider (Google or Apple). You agree to provide accurate, current, and complete information and to keep it updated.

2.2 Account Security

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at support@vertica.media if you suspect unauthorised access.

2.3 One Account Per Person

You may not maintain more than one personal account without our written permission, transfer your account to another person, or allow anyone else to use your account.

2.4 Account Suspension and Closure

We may suspend or close your account if you violate these Terms, if required by law, or if we believe in good faith it is necessary to protect the Service or other users. You may close your account at any time via the in-app settings or by emailing support@vertica.media.

The Service

Vertica is a platform that allows users to upload, share, and view vertical-format video content, follow creators, and engage with a community of independent storytellers.

3.1 Changes to the Service

We are continually developing Vertica. We may add, modify, or remove features, content, or functionality at any time without notice. We may also limit certain features to specific users, regions, or subscription tiers.

3.2 Beta and Early-Access Features

We may offer features marked as "beta," "preview," or "early access." These features are provided "as is," may be unstable, and may be discontinued at any time. We may collect additional feedback from your use of such features.

3.3 Availability

We do not guarantee that the Service will be uninterrupted, error-free, secure, or available at any particular time or location. We may need to take parts of the Service offline for maintenance, upgrades, or emergency reasons.

User Content

4.1 Your Content, Your Ownership

"User Content" means any content you submit, upload, post, or transmit through the Service — including videos, audio, images, captions, descriptions, hashtags, comments, and profile information. You retain all ownership rights in your User Content. Nothing in these Terms transfers ownership to us.

4.2 Licence You Grant to Vertica

To operate the Service, we need permission to use your User Content. By submitting User Content, you grant Vertica a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to host, store, reproduce, modify (for technical purposes such as transcoding and adaptive streaming), publish, perform, display, and distribute your User Content in connection with the Service and our reasonable business operations, including promoting the Service.

This licence ends when you delete your User Content or your account, except: (a) for content already shared with other users who retain copies in their feeds or cached on their devices; (b) for backup or compliance copies retained as described in our Privacy Policy; and (c) where we are required by law to retain it.

4.3 Your Representations

By submitting User Content, you represent and warrant that:

• You own the User Content or have all necessary rights, licences, consents, and permissions to grant the licence above.
• Your User Content does not and will not infringe, misappropriate, or violate any third party's rights, including intellectual property rights, privacy rights, publicity rights, or contractual rights.
• Your User Content complies with these Terms and all applicable laws.
• You have obtained any necessary releases, permissions, or consents from people appearing in or referenced in your User Content.

4.4 Content Moderation

We may, but are not obligated to, review, monitor, or moderate User Content. We may remove, restrict, or refuse to display any User Content that violates these Terms, our content policies, or applicable law, or that we believe in good faith is otherwise objectionable. Our decisions on content moderation are final unless otherwise required by law.

Creator Program

Vertica may offer a Creator Program through which eligible creators can earn revenue from their content. Participation in the Creator Program is subject to a separate Creator Program Agreement that supplements these Terms.

5.1 Eligibility

Eligibility criteria, application processes, and the rights and obligations of Creator Program participants are described in the Creator Program Agreement. We may modify eligibility criteria at our discretion.

5.2 Payments and Taxes

Where revenue is shared with creators, payouts are subject to minimum thresholds, payment processor terms, and tax compliance. You are solely responsible for all taxes payable on revenue you earn through the Service, including income tax and GST or equivalent indirect taxes. We may withhold taxes where required by law.

5.3 Changes to the Creator Program

We may modify, suspend, or discontinue the Creator Program or any part of it at any time, with notice where reasonably possible. Material changes to revenue share rates or payout terms will be notified in advance.

Acceptable Use

You agree not to use Vertica to:

• Upload, post, or transmit content that is unlawful, defamatory, obscene, hateful, harassing, threatening, or that incites violence or discrimination.
• Upload child sexual abuse material (CSAM) or any content that sexually exploits or endangers minors. We have zero tolerance for such content. We will report violations to law enforcement and to the National Center for Missing & Exploited Children (NCMEC) or equivalent authorities.
• Infringe any patent, copyright, trademark, trade secret, or other intellectual property right, or any privacy, publicity, or contractual right.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Distribute spam, chain letters, pyramid schemes, or other unsolicited promotional content.
• Engage in fraud, deception, or manipulation of the Service or its users.
• Access, scrape, crawl, index, or otherwise collect data from the Service except through publicly documented APIs (if any) and in accordance with their terms.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
• Use the Service to develop competing products or services, or to train machine learning models, without our prior written consent.
• Introduce viruses, malware, or any other harmful code into the Service.
• Interfere with, disrupt, or attempt to gain unauthorised access to the Service or any related systems, networks, or accounts.
• Use automated means (bots, scripts) to engage with the Service, except as expressly permitted.
• Violate any applicable law or regulation in connection with your use of the Service.

Intellectual Property and Copyright

7.1 Vertica's Intellectual Property

The Service — including its software, design, logos, trademarks, brand elements, and all content we create — is owned by Vertica or our licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written permission.

7.2 Trademarks

"Vertica," the Vertica logo, "Rise. Create. Be Seen.," and all related marks are trademarks of Vertica Media Private Limited. You may not use them without our prior written consent.

7.3 Copyright Complaints

We respect the intellectual property rights of others and expect users to do the same. If you believe content on Vertica infringes your copyright, please send a notice to our designated copyright agent at support@vertica.media including:

• Identification of the copyrighted work you claim has been infringed.
• Identification of the allegedly infringing material on Vertica, with sufficient detail (URL, user account, timestamp) to locate it.
• Your contact information (name, address, email, phone).
• A statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on the owner's behalf.
• Your physical or electronic signature.

We will review valid notices and respond in accordance with applicable law, which may include removing the allegedly infringing content and notifying the user who posted it.

7.4 Counter-Notice

If you believe your content was removed in error, you may submit a counter-notice to support@vertica.media with comparable information. We will forward valid counter-notices to the original complainant.

7.5 Repeat Infringers

We will, in appropriate circumstances, suspend or terminate accounts of users who repeatedly infringe the intellectual property rights of others.

Privacy and Third-Party Services

Our collection, use, and disclosure of your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to that processing.

The Service may include integrations with or links to third-party services (such as Google, Apple, or Meta sign-in; payment processors; analytics tools). Your use of those services is governed by their own terms and privacy policies. We are not responsible for the content, practices, or policies of third-party services.

Termination

9.1 By You

You may stop using the Service at any time. You may delete your account through the in-app settings or by contacting support@vertica.media.

9.2 By Us

We may suspend or terminate your account or access to the Service, with or without notice, if:

• You violate these Terms, our content policies, or applicable law.
• We are required to do so by law, regulation, or legal process.
• We discontinue the Service or any material part of it.
• We believe in good faith that suspension or termination is necessary to protect the Service, our users, or third parties.

9.3 Effect of Termination

On termination, your right to use the Service ends immediately. Sections that by their nature should survive termination — including ownership, licences granted to us, disclaimers, limitations of liability, indemnification, and governing law — will continue to apply.

Disclaimers

To the maximum extent permitted by law:

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We expressly disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and quiet enjoyment.

We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or free of viruses; that defects will be corrected; or that the Service will meet your expectations. You use the Service at your own risk.

We do not endorse, guarantee, or assume responsibility for any User Content or third-party content available through the Service. We are not responsible for the conduct, whether online or offline, of any user of the Service.

Limitation of Liability

To the maximum extent permitted by law:

Vertica, its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, data, goodwill, or other intangible losses — arising out of or in connection with your use of the Service, regardless of the legal theory and whether or not we were advised of the possibility of such damages.

To the extent we are found liable for any reason, our total cumulative liability to you for all claims arising out of or in connection with the Service will not exceed the greater of (a) the amounts paid by you to Vertica in the twelve (12) months preceding the event giving rise to the claim, or (b) INR 5,000.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Vertica and its affiliates, officers, directors, employees, and agents from any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your User Content;
• Your use of, or inability to use, the Service;
• Your violation of these Terms or any applicable law;
• Your violation of any rights of any third party.

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. You agree to cooperate with our defence of any such claim.

Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Where applicable, this is without prejudice to mandatory consumer protection rights in your country of residence.

13.2 Jurisdiction

Subject to Section 13.3, the courts of Jaipur, India will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.

13.3 Informal Resolution First

Before filing a claim, we encourage you to contact us at support@vertica.media so we can try to resolve the matter informally. Most concerns can be resolved quickly this way.

13.4 EEA / UK / California Users

If you are a consumer in the EEA, UK, or California, nothing in these Terms affects your rights under the mandatory laws of your country of residence, including your right to bring proceedings in the courts of your country of residence.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service, by email, or by other reasonable means at least 14 days before the changes take effect (unless a shorter period is required for legal or security reasons). The "Last Updated" date at the top reflects the most recent version.

Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of them. If you do not agree to the updated Terms, you must stop using the Service before they take effect.

Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any supplementary terms (such as the Creator Program Agreement), constitute the entire agreement between you and Vertica regarding the Service and supersede any prior or contemporaneous agreements.

15.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision will not be a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets.

15.5 Relationship of the Parties

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Vertica.

15.6 Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, labour disputes, power or internet failures, or acts of third parties.

15.7 Apple App Store Additional Terms

If you access the Service through an iOS application:

• These Terms are between you and Vertica, not with Apple. Apple is not responsible for the Service or its content.
• Your licence to use the Service is limited to a non-transferable licence to use the Service on Apple-branded products you own or control, subject to Apple's App Store Terms of Service.
• Apple is not responsible for any maintenance or support of the Service.
• If the Service fails to conform to any applicable warranty, you may notify Apple, which will refund the purchase price (if any). Apple has no other warranty obligations.
• Apple is a third-party beneficiary of these Terms and may enforce them against you.

15.8 Google Play Additional Terms

If you access the Service through an Android application obtained from Google Play, your use is also subject to Google Play's terms.
